Terms of Service — SodaRamp

1. Acceptance of Terms

By accessing or using SodaRamp at crypto.sodagift.com (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you and Sodacrew Global Inc. ("Company", "we", "us", or "our").

2. Description of Service

SodaRamp is a digital marketplace operated by Sodacrew Global Inc. that allows users to purchase gift cards using cryptocurrency. Gift cards are sourced from SodaGift for Biz and delivered digitally via email. The Service is operated as a sister service of SodaGift (sodagift.com). The Company acts as an intermediary facilitating the purchase and delivery of digital gift cards from third-party issuers and does not itself issue or guarantee any gift cards.

3. Eligibility and Account Registration

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service.
You must provide a valid email address to create an account.
You are responsible for maintaining the security of your email account, as it is the sole method of authentication (Magic Link).
You may not create accounts for others without their consent.
You represent and warrant that all information you provide is accurate, current, and complete.
You are responsible for all activity that occurs under your account.

4. Purchases and Payments

4.1 Cryptocurrency Payments

All payments are processed through Coinbase Commerce. We accept Bitcoin, Ethereum, USDC, and other cryptocurrencies supported by Coinbase Commerce. Prices are displayed in local currencies and converted to USD at the time of checkout. Product prices reflect the face value of the gift card with no additional markup (0% product markup).

4.2 Exchange Rate and Volatility

Cryptocurrency prices are highly volatile. The final amount of cryptocurrency required for payment is determined at the time of checkout and may fluctuate during the payment process. We are not responsible for any losses arising from cryptocurrency price fluctuations between the time you initiate a transaction and the time payment is confirmed on-chain. For non-USD denominated products, currency conversion rates are applied at the time of checkout and may include a processing spread.

4.3 Order Fulfillment

Upon confirmed payment, gift cards are automatically issued and delivered to the specified recipient email address. Delivery is typically instant but may take up to 24 hours in exceptional circumstances.

4.4 Refund Policy

Once a gift card has been successfully issued and delivered, all sales are final and no refund, exchange, or cancellation is available. However, if a gift card fails to be issued due to a system error on our end ("Issuance Failure"), you may request a refund within 30 days of the order date through one of the following methods:

Points Refund (Instant): Receive the equivalent value as points credited to your account instantly (1 point = $0.01 USD). Points are valid for 12 months and can be used for future purchases.
Crypto Refund (USDC): Receive a USDC refund to a wallet address you specify on the Base or Polygon network. Processing takes 1–3 business days after your request is submitted.

Refunds are NOT available in the following circumstances:

The gift card was successfully issued and delivered (regardless of whether it was redeemed)
The order was placed with incorrect information provided by you (e.g., wrong email, wrong product)
The gift card code has already been redeemed or used
The 30-day refund request deadline has passed
The account has been suspended or terminated for violation of these Terms

4.5 Price Accuracy

We make reasonable efforts to ensure pricing accuracy. However, due to cryptocurrency volatility and exchange rate fluctuations, the final amount charged may differ slightly from the displayed price. In the event of a pricing error, we reserve the right to cancel the order and refund the payment.

5. Gift Card Terms

Gift cards purchased through the Service are subject to the terms and conditions of the issuing brand.
Validity periods, usage restrictions, and redemption methods vary by brand and country.
We are not responsible for restrictions, limitations, or changes imposed by gift card issuers.
Gift cards are provided "as is" without warranties regarding the issuer's performance or availability.
You are solely responsible for safeguarding gift card codes after delivery. We are not liable for gift card codes that are lost, stolen, destroyed, or used by unauthorized parties after delivery to the specified email address.
We do not guarantee that gift cards will be accepted at all locations or for all products of the issuing brand.

6. Points Program

We offer a points-based rewards program for eligible purchases. By participating, you agree to the following:

Points are earned at the rate displayed at checkout (currently 1% of the USD transaction amount).
Points have no cash value and cannot be transferred, sold, or exchanged for currency.
Points can be redeemed toward future purchases at the rate of 1 point = $0.01 USD.
We reserve the right to modify, suspend, or terminate the points program at any time, with or without notice.
Points may expire or be forfeited if your account is terminated for violation of these Terms.
Abuse of the points program (including fraudulent transactions to earn points) may result in forfeiture of all points and account termination.

7. Order Refusal and Cancellation

We reserve the right to refuse, cancel, suspend, or delay any order at our sole discretion, including after payment has been received. Reasons may include, but are not limited to:

Suspected fraudulent, illegal, or unauthorized activity
Violation of these Terms or applicable laws
Inability to verify your identity or payment source
Suspected sanctions violations or involvement in money laundering or terrorism financing
Technical or operational issues preventing fulfillment
Requests from law enforcement or regulatory authorities
Circumvention of geographic restrictions to purchase products not available in your country

If we cancel an order before a gift card has been issued, we will make reasonable efforts to facilitate a refund of the cryptocurrency payment. However, we are not responsible for any losses due to cryptocurrency price changes during the refund process.

8. Prohibited Uses

You agree not to:

Use the Service for money laundering, terrorism financing, fraud, or any illegal activity
Purchase gift cards for commercial resale or arbitrage purposes
Use the Service if you are located in, or a resident of, a country subject to comprehensive U.S., EU, or UN sanctions
Use the Service if you are listed on any government sanctions list (including OFAC SDN, EU consolidated list, or equivalent)
Circumvent geographic restrictions to purchase products not available in your region
Attempt to exploit, hack, reverse-engineer, or disrupt the Service or its infrastructure
Use automated systems, bots, or scripts to access the Service without prior written permission
Impersonate other users, entities, or provide false or misleading information
Engage in any activity that could harm the reputation or operations of the Company
Use the Service to circumvent currency controls or financial regulations

9. Identity Verification and Compliance

To comply with applicable anti-money laundering (AML), counter-terrorism financing (CTF), and know-your-customer (KYC) regulations:

We reserve the right to request identity verification at any time, including but not limited to government-issued photo identification, proof of address, and source of funds documentation.
We may impose transaction limits or purchasing thresholds that require identity verification before proceeding.
We may conduct sanctions screening on users and transactions.
Failure to provide requested verification within a reasonable timeframe may result in order cancellation, account suspension, or account termination.
Providing false, misleading, or fraudulent identification documents will result in immediate account termination and may be reported to relevant authorities.

We reserve the right to report suspicious transactions to relevant financial intelligence units and law enforcement agencies as required or permitted by applicable law.

10. Intellectual Property

All content, features, and functionality of the Service — including but not limited to text, graphics, logos, icons, images, software, and the overall design and arrangement — are the exclusive property of Sodacrew Global Inc. or its licensors and are protected by applicable intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content from the Service without our prior written consent. Third-party trademarks, including gift card brand names and logos, are the property of their respective owners and are displayed for identification purposes only.

11. Taxes

You are solely responsible for determining and fulfilling any tax obligations arising from your use of the Service, including but not limited to income tax, capital gains tax, sales tax, VAT, or any other taxes applicable in your jurisdiction. The Company does not provide tax advice and makes no representations regarding the tax implications of your transactions. You agree that the Company is not responsible for withholding, collecting, or remitting any taxes on your behalf unless explicitly required by law.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Sodacrew Global Inc. and its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from or related to:

Your use of or inability to use the Service
Cryptocurrency price fluctuations or exchange rate changes
Unauthorized access to or alteration of your account or data
Actions or omissions of third-party gift card issuers
Technical failures, system outages, or security breaches
Any errors, omissions, or inaccuracies in the Service

Our total aggregate liability for any claim arising from or related to the Service shall not exceed the amount you paid for the specific transaction giving rise to the claim.

13. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We make no warranty regarding the quality, accuracy, timeliness, or completeness of any content or information provided through the Service.

14. Indemnification

You agree to indemnify, defend, and hold harmless Sodacrew Global Inc. and its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of the rights of any third party; or (e) any content or information you provide through the Service.

15. Account Suspension and Termination

We may suspend or terminate your account and access to the Service immediately, without prior notice, for any reason including but not limited to:

Violation of these Terms or applicable laws
Suspected fraudulent, illegal, or abusive activity
Failure to provide requested identity verification
Request from law enforcement or regulatory authority
Extended period of inactivity

You may request account termination at any time by contacting us at support@sodagift.com. Upon termination, any unused points in your account will be forfeited. Termination does not relieve you of obligations incurred prior to termination, including any pending transactions or liabilities.

16. Service Availability

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We may also restrict access to certain features, products, or the entire Service at our sole discretion. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

17. Changes to Terms

We reserve the right to update these Terms at any time. Changes will be effective upon posting to the Service. We will indicate material changes by updating the "Last updated" date at the top of this page. Your continued use of the Service after any changes constitutes acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Service and request account termination.

18. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of laws principles. Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties. If a dispute cannot be resolved through negotiation within 30 days, it shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with the arbitration conducted in San Francisco, California. The arbitrator's decision shall be final and binding. You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action or collective proceeding. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

19. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
